For the purposes of these Terms, the Website shall be referred to as the "Platform,"and Prtmatch Market Place Private Limited may be referred to as the "Company, CBCatalyst," "we," "us," or "our".
As a user ("User" or "You" or "Your") of the Platform, You understand that the Terms govern access and use of the Platform developed and operated by the Company including any proprietary data associated therewith and made available to Company and other users as part of the Platform-related services offered by CBCatalyst ("Platform Services/Services").
Please read these Terms carefully before accessing or using our Platform or any part thereof. By accessing or using any part of the Platform, You agree to be bound by these Terms. If You do not agree to all the Terms, then You may not access the platform or use any Platform Services provided by us.
These Terms form a legal and binding agreement between the User and Us and is made pursuant to the terms of the Information Technology Act, 2000, as amended from time to time.
“Buyer(s)” means any individual or entity that uses the Platform to search for and connect with suppliers.
“Supplier(s)” means any individual or entity that offers parts or manufacturing services on the Platform.
The Platform is a strategic sourcing platform that use an artificial intelligence (“AI”) powered marketplace designed to assist and connect buyers with suitable suppliers based on images uploaded or text descriptions provided by Users. These images or descriptions typically relate to parts, components, or manufacturing requirements, enabling an efficient and intelligent matching process. By leveraging advanced algorithms, the Platform streamlines the procurement process, ensuring that users are connected with relevant suppliers who can meet their specific needs. Any information You upload, including images and text descriptions, remains Your exclusive property and will not be shared with another User unless we are engaging them specifically for Your request and as per Your requirement.
CBCatalyst leverages advanced AI technology to connect Buyers with Suppliers who specialize in manufacturing similar parts and serving relevant industries. In addition to its core functionality, the Platform offers a suite of supplementary services designed to enhance the overall user experience, streamline supply chain operations, and provide valuable market insights for businesses seeking manufacturing solutions.
While CBCatalyst strives to deliver accurate and reliable matching results, search recommendations, and supplier connections, we do not guarantee that the suggested Suppliers will perfectly align with Your specific requirements. Additionally, we do not warrant that the services provided by Suppliers will be error-free, uninterrupted, or meet all expectations. Users are encouraged to conduct their own due diligence before engaging in any transactions.
All data displayed on the Platform is either publicly available online or shared by the Users. We gather and analyze data from multiple sources, including user websites, third-party databases, and AI-driven tools, while ensuring that identifying details (e.g., customer names) are removed before displaying the data on the Platform. The Platform is strictly intended for lawful commercial use. By accessing and using the Platform, You agree to comply with these Terms, as well as all applicable laws, regulations, and industry standards relevant to Your jurisdiction. It is Your responsibility to ensure that Your use of the Platform aligns with all legal and regulatory requirements.
Furthermore, You acknowledge and accept full responsibility for any content that You upload, submit, or transmit through the Platform. This includes, but is not limited to, images, text descriptions, specifications, or any other information shared with potential Suppliers. You warrant that all content You provide is accurate, lawful, and does not infringe on any third-party rights, including intellectual property rights, proprietary information, or confidentiality agreements. The Company reserves the right to review, remove, or take appropriate action against any content that violates these Terms or poses a risk to the integrity of the Platform.
The User of this Platform unequivocally declares and agrees that in case of an individual, the User is a natural / legal person who has attained the age of at least eighteen (18) years User is allowed to utilize the Platform Services in accordance with these Terms. If the User violates any of these Terms, or otherwise violates an agreement entered into through the use of the Platform Services, CB-Catalyst may terminate the User’s membership, delete his/her profile and any content or information posted online by the User on the Platform or prohibit the User from using or accessing the Platform at any time in its sole discretion, with or without notice, including without limitation if CB-Catalyst believes that User is under the age of eighteen (18) years.
All intellectual property related to the User Content (as defined below) uploaded on the Platform shall remain the exclusive property of the User who uploads it. The User retains full ownership of such data. CBCatalyst will not reproduce or distribute any User Content without the User's prior consent or unless required to facilitate the services for the User.
CBCatalyst grants You a limited, revocable, non-exclusive, and non-transferable license to access and use the Platform strictly in accordance with these Terms. This license is solely for Your lawful commercial use of the Platform and does not grant You any rights to the underlying software, data, or any proprietary information of CBCatalyst.
You agree not to copy, modify, distribute, sell, sublicense, lease, reverse engineer, decompile, disassemble, or create derivative works based on the Platform, its content, or any part thereof, except with the explicit prior written permission of CBCatalyst. Any unauthorized use of the Platform’s intellectual property may result in legal action.
When You upload images, text descriptions, or any other content ("User Content/Content") related to parts or manufacturing requirements on the Platform, You represent and warrant that You have all necessary rights, licenses, and permissions to submit such Content. You confirm that Your User Content does not infringe upon any third-party rights, including but not limited to intellectual property rights, trade secrets, or confidentiality obligations.
By submitting User Content to the Platform, You grant CBCatalyst a non-exclusive, worldwide, royalty-free, and perpetual license to use, display, reproduce, modify, distribute, and create derivative works of such content for the purpose of operating, improving, and promoting the Platform. This license allows CBCatalyst to process and analyze User Content to provide better matchmaking services between Buyers and Suppliers. However, CBCatalyst does not claim ownership of Your User Content, and You retain full ownership rights over it.
You acknowledge and agree that any data uploaded to the Platform may be processed using a AI algorithm to facilitate the matching of parts with suitable suppliers. CBCatalyst employs reasonable technical and organizational security measures to protect and safeguard Your data from unauthorized access, disclosure, or misuse. All data processing will be conducted in accordance with CBCatalyst’s Privacy Policy, which outlines how user information is collected, stored, and handled.
CBCatalyst follows a strict data retention policy to ensure user privacy and security. Specifically, any images uploaded to the Platform will not be stored permanently.. Other forms of user data, such as text descriptions and transactional information, may be retained for the duration necessary to provide services, comply with legal obligations, or fulfill business requirements.
By using the Platform, You agree to abide by these terms and acknowledge that CBCatalyst reserves the right to remove, suspend, or restrict access to any User Content that violates these Terms, applicable laws, or CBCatalyst’s policies.
The User acknowledges and agrees to the Company’s Privacy Policy, available online at app.cbcatalyst.com, which is incorporated into these Terms and shall govern the parties with respect to the privacy of such data being uploaded on the Platform.
The User agrees that the Company may access, collect, and use any information relating to User’s use of the Platform (“User Data”) for technical, operational, customer support purposes, regulatory and third-party compliance purposes, to protect and enforce the Company’s rights, to monitor compliance with and investigate potential breaches of these Terms, and to recommend additional products or services to the Users, as well as to share such information with the Company’s vendors, sales partners or affiliates for the same limited purposes as stated above.
For the avoidance of doubt, User Data does not include the User’s sensitive personal information or any personal information. The User grants the Company and its affiliates the perpetual right to use the User Data for purposes such as to test, develop, improve, and enhance the Company’s products and services, and to create and own derivative works based on User Data, so long as the Company, is identifiable as the source of such information and no sensitive personal information is publicly disclosed. To the extent that either party transmits or receives personal information under these Terms, they shall be governed by the Privacy Policy.
If You wish to use the Platform, You are required to maintain an account on the Platform and You will be required to furnish certain information and details, including Your name, Email ID, contact number and any other information deemed necessary by the Company for the purpose of accepting Your eligibility for the Services offered on our Platform.
To access certain advanced features of the Platform, such as enhanced search results and supplier profiles, users must create an account by registering with a valid email address and completing a One-Time Password (OTP) verification process. You agree to provide accurate, up-to-date, and complete information during the registration process and to promptly update any changes to ensure the accuracy of Your account details.
You are responsible for maintaining the confidentiality and security of Your account, password, activities that occur in or through Your account and for restricting access to Your computer or mobile, as the case may be, to prevent unauthorized access to Your account. You agree to accept responsibility for all activities that occur under Your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if You have any reason to believe that Your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner.
Please ensure that the details You provide Us are true, correct, accurate and complete. Upon the Company gaining knowledge of having any reasonable suspicion that the information provided by You is wrong, inaccurate or incorrect, the Company shall immediately terminate Your account without any notice to You in this regard. In the event of any changes to the information shared by You after registering Yourself on the Platform, You shall be responsible for forthwith notifying the said changes to Us. You can access and update most of the information You provided us on the area of Your account after You log-in or by writing to Us at [email protected]. The right to use this Platform is personal to the User and is not transferable to any other person or entity.
CBCatalyst always has the right and liberty to monitor the content of the Platform or any part thereof which shall include information provided in Your account. The monitoring of the Platform is important to determine the veracity of the information provided by You and that every User remains in consonance with the Terms provided herein. Subject to the Terms mentioned herein, CBCatalyst shall also have the liberty to remove any objectionable content which is in contravention of the Terms or any applicable laws in force in India or share such information with any governmental authority as per procedures laid down by the law for the time being in force in India.
CBCatalyst may wish to stop providing the Services and may terminate use of it at any time without giving notice of termination to You for conduct that violates these Terms or is harmful to other users or the business interests of CBCatalyst. Unless CBCatalyst informs the User otherwise, upon any termination, (a) the rights and licenses granted to You in these Terms will end; and (b) User must stop using the Platform or any part thereof forthwith. CBCatalyst reserves the right to suspend, or cease providing any Service and shall have no liability or responsibility to the User in any manner whatsoever.
In addition to other prohibitions outlined in these Terms, You are prohibited from using the Platform to display, upload, modify, publish, or share any information that:
(a) is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, insulting, or harassing on the basis of gender, libelous, racially or ethnically objectionable, encourages money laundering or gambling, or otherwise violates applicable laws;
(b) is harmful to a child;
(c) solicits others to engage in unlawful acts;
(d) violates international, federal, provincial, state regulations, rules, laws, or local ordinances;
(e) infringes upon our intellectual property rights or those of others;
(f) harasses, abuses, insults, harms, defames, slanders, disparages, intimidates, or discriminates based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
(g) submits false or misleading information, impersonates another person, or uses information belonging to someone else without authorization;
(h) uploads or transmits viruses or any other malicious code that may disrupt the functionality or operation of the Platform or related websites;
(i) threatens the unity, integrity, defense, security, or sovereignty of India, damages friendly relations with foreign states, or harms public order;
(j) collects or tracks the personal information of others;
(k) engages in spamming, phishing, or other forms of malicious activity such as pretexting, spidering, crawling, or scraping;
(l) contains software viruses or any other code designed to disrupt or limit the functionality of computer systems;
(m) is patently false and intended to mislead or harass for financial gain or cause harm;
(n) interferes with or circumvents the security features of the Platform, related websites, or the Internet.
We reserve the right to terminate Your use of the Service or any related website for violating any of these prohibitions.
Notwithstanding anything to the contrary in these Terms, CBCatalyst, along with its officers, directors, employees, and affiliated parties, shall not be liable to You or any third party for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising from or related to Your use of the Platform. To the fullest extent permitted by law, You expressly waive, release, and discharge CBCatalyst, its directors, officers, employees, and agents from any claims, damages, liabilities, expenses, or causes of action resulting from Your use of the Platform or its Services.
As a User, You acknowledge that CBCatalyst implements reasonable checks and balances to verify the credibility of Users listed on the Platform. However, the accuracy of the information provided relies on details submitted by Users themselves. CBCatalyst shall not be held liable for any inaccuracies, omissions, or misrepresentations made by any User. If a User fails to disclose relevant information that is not immediately detectable by CBCatalyst, the Platform shall not bear responsibility for any resulting claims or liabilities.
CBCatalyst is not a party to any agreement or arrangement between a Buyer and a Supplier. In the event of a default by either party, the affected party holds the sole right to take legal or remedial action against the defaulting party. CBCatalyst assumes no responsibility for enforcing agreements or resolving disputes between Users.
CBCatalyst is a marketplace designed to facilitate connections between Buyers and Suppliers based on images and text descriptions uploaded by Users. You acknowledge that it is Your responsibility to conduct independent due diligence before engaging in any transactions or processes through the Platform.
Your use of the Platform and all associated services, information, and content (including third-party data) is at Your sole risk. The Platform is provided on an "as is" and "as available" basis. CBCatalyst makes no warranties, express or implied, regarding the accuracy, reliability, or availability of its services, including but not limited to:
CBCatalyst does not guarantee the performance, reliability, or legitimacy of any Supplier, Buyer, or transaction on the Platform. Any reliance on information obtained through CBCatalyst is at Your own discretion and risk.
CBCatalyst expressly disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. No oral or written advice or information obtained from CBCatalyst shall create any warranty not expressly stated in these Terms.
While CBCatalyst employs security measures to protect Your data, it does not warrant that the Platform will be free from cyber threats, viruses, or system vulnerabilities. You are solely responsible for any damage to Your device, data loss, or other technical issues resulting from Your use of the Platform.
The Platform may include links or references to third-party websites, services, or resources that are not owned or controlled by CBCatalyst. CBCatalyst does not guarantee the availability, accuracy, or reliability of such external sites and is not responsible for their content. Additionally, CBCatalyst does not endorse or assume liability for any content, advertisements, products, or other materials available through these third-party platforms.
By using the Platform, You acknowledge and accept the above Terms, including all disclaimers, limitations, and conditions outlined in this section.
You agree to indemnify, save, and hold CBCatalyst, its affiliates, contractors, employees, officers, directors, agents, and its third-party associates, licensors, and partners harmless from any and all claims, demands, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to Your misuse of the Services or Platform, any violation by You of these Terms, or any breach of the representations, warranties, and covenants made by You herein or Your infringement of any intellectual property or other right of any person or entity, or as a result of any threatening, libelous, obscene, harassing, or offensive material posted/transmitted by You on the Platform. CBCatalyst reserves the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify CBCatalyst, including the right to settle, and You agree to cooperate with CBCatalyst’s defense and settlement of these claims. CBCatalyst will use reasonable efforts to notify You of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive the termination of these Terms.
As a User of this Platform, You have agreed to the Terms provided hereunder or anywhere else on this Platform including but not limited to disclaimers on this Platform.
CB-Catalyst reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms, at any time without any prior written notice to the User. It is the User’s responsibility to review these Terms periodically for any updates/ changes. User’s continued use of the Platform following the modification of these Terms will imply the acceptance by the User of the revisions.
Your use of this Platform and any Term & Conditions stated in this agreement is subject to laws of India. In case of any disputes arising out of the use of the Platform or any part thereof, Courts of Bengaluru, India will have exclusive jurisdiction.
This Agreement, including any incorporated policies or rules, constitutes the entire agreement between You and CBCatalyst regarding Your use of the Platform, superseding all prior agreements, understandings, or communications on the subject. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be considered a waiver unless expressly acknowledged in writing. You may not assign or transfer these Terms, whether by operation of law or otherwise, without CBCatalyst’s prior written consent, and any unauthorized attempt to do so shall be deemed null and void. Any notices from CBCatalyst under these Terms will be provided via email or through a notification on the Platform.
